The Institute was pleased to present this eye opening seminar on 20 October 2009 giving delegates the insights into best practice in the management of association partnerships to underpin growth and impact.
 
Abbie Rumbold
Abbie Rumbold, Solicitor, Baits Wells and Braithwaite, started off with a discussion of the legal formats behind merging and the view from an association's perspective. Questions such as: Why incorporate or merge, how to manage the effects of' merger syndrome,' understanding the risks involved and establishing new forms of governance were just a few of the areas covered.
   
Jamie Huard Jamie Huard, Solicitor, Bates Wells and Braithwaite, looked at the property and assets proceedings of incorporation. Gaining consents in terns of lease agreements and working with landlords were reviewed, with a discussion on the correct way to handle merger agreements related to property assets. Specific issues related to property transfer for the charities sector were also highlighted.
   
Tracey Young Tracey Young, Partner, haysmacintyre, covered the management of association mergers from an accounting perspective. The costs and risk of merging, due diligence and the success factors of merging using the 5 C's framework were highlighted, giving a roadmap for application and good practice.
